Terms of Service

Description of the service

We provide Meta (Facebook and Instagram) advertising management for furniture manufacturers and retailers. The service covers ad infrastructure setup, campaign management, ad copy and creative direction, and monthly reporting.

The advertising budget is not included in the service fee. Ad spend is paid directly to Meta Platforms, Inc. from the client’s own ad account.

Payment terms

The service is provided on a monthly subscription basis. The monthly fee is charged in advance at the start of each service period. Payment may be made by credit card or bank transfer.

If payment is not made when due, we reserve the right to suspend the service after notifying you.

Client obligations

In order for the service to be delivered, the client:

• Grants administrator access to the ad account and Business Manager
• Provides required information such as product images, pricing and stock availability in good time
• Funds the advertising budget from their own account
• Warrants that they hold the rights to use any images and copy they supply

Account ownership

The ad account, Business Manager and all associated data remain the property of the client. The company receives administrator access only. On termination the client removes our access; the account and all historical data stay with the client.

Statement on results

Advertising performance depends on factors largely outside the company’s control, including product, pricing, stock availability, competition and market conditions. No specific revenue, order volume or return on ad spend (ROAS) is guaranteed. Results shown on the website belong to past clients and are not an indication of future performance.

Limitation of liability

The company’s total liability for any claim shall not exceed the total service fees paid by the client in the three (3) months preceding the event giving rise to the claim. The company is not liable for indirect damages, loss of profit or loss of data.

The company is not responsible for account restrictions, ad rejections or policy changes imposed by Meta Platforms, Inc.

Contract term, cancellation and refunds

The minimum contract term is 3 months. After that the agreement continues on a monthly basis.

To cancel, send an email to samet@uzaydijitalmedya.com; we confirm the request in writing within 2 business days. Once the minimum term has ended, cancellation takes effect 30 days after notice.

The service is a professional service delivered in monthly periods, charged in advance at the start of each period. No refund is issued for a service period that has been paid for and has already begun; cancellation takes effect at the end of the current period and you are not charged for the following one.

If the company decides it cannot deliver the service, it may terminate the agreement. In that case the fee for the unused portion of the service period is refunded on a pro-rata basis, returned to the original payment method within 10 business days of approval.

Governing law

These terms are governed by the laws of the State of New York. The courts of the State of New York shall have jurisdiction over any dispute.
